Terms of Service

1. Agreement to Terms

By accessing or using AVA, the OverClaw API, or any services provided by OverClaw, Inc. (“OverClaw,” “we,” “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Services

OverClaw provides:

  • AVA: an iOS application for creating and interacting with autonomous AI agents
  • OverClaw API: a developer platform for building AI agent capabilities into third-party applications
  • Agent email services: @overclawmail.com email addresses assigned to AI agents for communication

3. Account Responsibilities

  • You must provide accurate information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You are responsible for all activity under your account, including actions taken by AI agents you create
  • You must notify us immediately of any unauthorized use at support@overclaw.app

4. Acceptable Use

You agree NOT to:

  • Use agents to send spam, phishing, or unsolicited communications
  • Create agents that impersonate real individuals without their consent
  • Use the API to build competing agent platforms without written permission
  • Attempt to reverse-engineer, decompile, or extract model weights from our services
  • Exceed published API rate limits or circumvent usage restrictions
  • Use our services for any illegal purpose or to violate any applicable law

5. API Usage and Rate Limits

API access is subject to rate limits published in our documentation. We reserve the right to throttle or suspend access if usage patterns indicate abuse. API keys are confidential — do not share them publicly or embed them in client-side code.

6. Intellectual Property

Your content

You retain ownership of all content you create, including agent configurations, conversation data, and materials processed by your agents. You grant OverClaw a limited license to process this content solely to provide our services.

Our services

OverClaw and its licensors retain all rights to the AVA application, OverClaw API, documentation, and associated intellectual property. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

7. Agent Communications

AI agents operate autonomously based on your instructions. You acknowledge that:

  • Agent-generated content may not always be accurate or appropriate
  • You are responsible for reviewing agent outputs before relying on them for critical decisions
  • Emails sent from @overclawmail.com addresses are clearly identified as AI-generated
  • OverClaw is not liable for actions taken based on agent-generated content

8. Payment and Credits

AVA subscriptions are billed through the Apple App Store and subject to Apple's terms. API usage may be subject to credit-based billing as described in our pricing documentation. We reserve the right to modify pricing with 30 days' notice.

9. Limitation of Liability

To the maximum extent permitted by law, OverClaw shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

Either party may terminate this agreement at any time. You may delete your account through the app or by emailing support@overclaw.app. We may suspend or terminate your access if you violate these Terms, with notice where practicable. Upon termination, your right to use the services ceases immediately.

11. Changes to Terms

We may modify these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days in advance. Continued use after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
